Kornit Digital Ltd. settled allegations that it and certain of its executives made material misrepresentations and omissions related to Kornit’s business and operations that caused the price of Kornit ordinary shares to be inflated, and that the price declined when the truth was disclosed. Kornit Digital Ltd. denies any wrongdoing and the court made no finding of liability.

A $19,500,000 settlement of In re Kornit Digital Ltd. Securities Litigation, a securities class action brought by investors who bought Kornit ordinary shares between February 17, 2021 and July 5, 2022, or in its November 2021 secondary offering. Eligible investors who file a claim with supporting documentation can receive a share of the settlement fund.

Who is eligible?

All persons and entities who purchased or otherwise acquired ordinary shares of Kornit (i) during the period from February 17, 2021 through July 5, 2022, inclusive; and/or (ii) pursuant and/or traceable to Kornit’s secondary offering of ordinary shares in November 2021. Defendants, the Immediate Family Members of the Individual Defendants, and the other persons and entities listed on the settlement website are excluded.

How do you get paid?

A share of the Net Settlement Fund — the $19,500,000 settlement less Court-approved attorneys’ fees, litigation expenses and costs — distributed under the Plan of Allocation. The amount depends on when and at what prices you bought or sold your Kornit ordinary shares and on the total number and value of valid claims.

What proof do you need?

A Claim Form and the required supporting documentation, postmarked or submitted online by the deadline. The official Notice asks you to keep all records of your ownership of and transactions in Kornit ordinary shares, as they will be needed to document your Claim.
